Terms of service for DOCK and the partner programme

Effective from: 01.10.2026.

§ 1. Who runs the service

  1. The service available at dock.eu, comprising the informational website and the client portal, is operated by DOCK SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ with its registered office in Gdańsk, ul. Franciszka Rakoczego 9/73, 80-288 Gdańsk, Poland, entered into the Register of Entrepreneurs of the National Court Register (KRS) under number 0001105135, NIP 9571173402, REGON 528630778, hereinafter referred to as "Dock".
  2. Registry court: District Court Gdańsk-Północ in Gdańsk, VII Commercial Division of the National Court Register. Share capital: PLN 10,900.
  3. Contact details for matters concerning the service, accounts, complaints, and the referral program: contact@dock.eu. Correspondence may also be sent to our registered office address.
  4. These terms and conditions define the rules for using the service, electronically provided services, and the referral program. They are available free of charge in a form that allows them to be saved and stored.

§ 2. Definitions and scope

  1. User – a natural person using the website or portal, either on their own behalf or as an authorized representative of an organization.
  2. Organization – a business or other entity using the portal in connection with its commercial or professional activities.
  3. Account – a specific user's access to the portal, linked to an organization and assigned permissions.
  4. Partner – an organization that has accepted the terms of the referral program through an individual authorized to act on its behalf.
  5. Referral – the submission of a new prospective Dock client under the referral program.
  6. Wallet – the ledger maintained in the portal tracking granted, applied, and available partner discounts.
  7. The public part of the website is accessible without an account. The portal and referral program are designed for B2B collaboration. Any person using them on behalf of an organization must hold appropriate authority to do so.
  8. These terms do not govern the detailed scope, fees, schedule, SLA, or transfer of rights for paid client projects. Those terms are agreed upon in a separate contract, order form, or accepted proposal. Individual agreements take precedence for a specific project, subject to mandatory provisions of applicable law.
  9. SaaS products provided by Dock may have their own separate terms. Creating an account on this platform does not constitute an agreement to use all of Dock's products.

§ 3. Services available on the platform

  1. On the website, we provide information about Dock, our services, past projects, and educational content, as well as the ability to get in touch, submit an inquiry, or request a call back.
  2. The portal is used primarily for communication, file exchange, managing projects and support tickets, and sharing proposals, documents, timesheets, and billing records. Available features depend on the scope of collaboration, configuration, and user permissions.
  3. Partners can submit referrals, track their status, and monitor their wallet along with their discount redemption history.
  4. Browsing the website, submitting an inquiry, maintaining a standard account, and participating in the referral program are completely free of charge. Charges apply solely to services ordered under separately agreed terms. Users bear the cost of their own internet access.
  5. Submitting a contact form or a referral does not constitute an order for paid services, nor does it guarantee the conclusion of an agreement with Dock.
  6. Declarations made within the portal carry the legal meaning specified for each respective action and arising from the underlying agreement. Merely viewing or downloading a proposal does not mean accepting it. Document signing may take place via a separate electronic signature workflow.

§ 4. Technical requirements and security

  1. To use the website, you need an internet-connected device and an up-to-date web browser that supports HTTPS. Portal features also require JavaScript support, necessary session mechanisms, and an active email address.
  2. Logging in may require identity verification, email confirmation, and multi-factor authentication. If an organization enables SSO, logging in through that method also depends on its identity provider.
  3. Users must safeguard their devices and login credentials, use individual accounts, and never share passwords or access codes with others. Any suspicion that an account has been compromised must be reported to Dock immediately.
  4. Dock applies security measures appropriate to the nature of its services. No online security method completely eliminates the risks of phishing, malware, or unauthorized access.
  5. Permitted file formats and size limits are specified in the file upload form. Dock may reject any file that poses a security risk or fails to meet these criteria.

§ 5. Account creation and management

  1. The agreement for account management is entered into upon successful completion of registration or activation of an invited account, once these terms have been provided and accepted. The agreement is concluded for an indefinite period.
  2. Users must provide accurate and up-to-date details. Dock may verify the organization's information and the authority of the individual acting on its behalf. Selected features may be limited until verification is complete.
  3. The owner or authorized administrator of an organization manages user access within their assigned role permissions. The organization should keep its authorized user list current, especially when parting ways with an employee or contractor.
  4. Organization data and documents are accessible to authorized personnel according to their roles and the scope of work. The organization's administrator may view activity and content stored within its workspace. The portal must not be used for private, unrelated correspondence.
  5. A user can close their individual account at any time by notifying Dock. Closing an organization workspace requires an instruction from someone authorized to represent or manage it.
  6. Closing an account does not automatically terminate separate contracts, clear outstanding liabilities, forfeit earned discounts, or result in the deletion of documentation that Dock is legally required or entitled to retain.
  7. Upon account closure, we will allow authorized representatives to retrieve the organization's documents to which they are entitled, subject to data protection regulations and statutory obligations.

§ 6. Acceptable use and user content

  1. Supplying unlawful content, infringing third-party rights, or distributing malware, unauthorized data, or confidential information is strictly prohibited. Impersonation, unauthorized security testing, bypassing access controls, spamming, and any actions disrupting the platform are likewise forbidden.
  2. Users may only provide content they have the lawful right to use. Personal data must be limited to what is strictly necessary for the matter at hand. Passwords, API keys, and other secrets must be shared exclusively through agreed secure channels.
  3. Users retain all rights to the materials they provide. Users grant Dock permission to store, technically copy, display, and share them with authorized parties as necessary to perform our services and operate the portal. This does not grant Dock permission to display those materials in its portfolio or use them in marketing without consent.
  4. All website content, Dock branding, and materials provided by Dock are legally protected. Using them outside permitted fair use or the terms of an agreed license requires appropriate authorization.
  5. Whenever we provide an AI-assisted feature, we will clearly state this in its interface. AI-generated suggestions require human verification; they do not constitute a binding offer, a formal decision by Dock, or professional advice. Rules governing data processing in these features are detailed in our privacy policy.
  6. Unlawful content or security breaches can be reported to Dock's contact address, indicating the location, a description of the issue, and information needed to assess it. Do not share more third-party personal data than is necessary to make the report.

§ 7. Referral program participation

  1. The program is intended exclusively for organizations operating in a B2B model. It does not constitute an employment program, job placement agency, or authority to enter into agreements on Dock's behalf.
  2. Joining requires an authorized individual to accept the program terms. We log the version of the terms, the acceptance timestamp, and the identity of the person who acted on behalf of the partner.
  3. Rewards belong to the partner as an organization, not to the individual portal user. Changing the person administering the account does not transfer ownership of the wallet.
  4. Dock may require partner verification before crediting a reward. If information is missing or there is an issue during verification, we will notify the partner so the matter can be clarified.
  5. Partners decide independently whether and whom to refer to Dock. There is no quota requirement, exclusivity obligation, or purchase requirement to submit a referral.

§ 8. Valid referrals

  1. A referral must involve an entity that Dock is not currently working with and with whom Dock is not already discussing cooperation at the time of submission. No reward is granted for referring one's own organization or creating duplicate accounts for the same entity.
  2. A submission must allow identification of the prospective client, a contact person, and their requirements regarding Dock's services. Partners must provide at least the required fields in the form and one acceptable contact method.
  3. The partner must obtain prior approval from the contact person before sharing their details with Dock, including informing them of the purpose of the contact. Purchased lead databases, unlawfully acquired data, and individuals who have declined contact must not be submitted.
  4. Submitting lead details does not constitute consent by the referred individual to receive marketing from Dock. Commercial outreach via email or phone will only occur if statutory requirements for that specific channel and purpose are met. Where required, we will ask the lead to confirm their inquiry or consent.
  5. A referral does not entitle the partner to inspect third-party correspondence, proposals, invoices, project documents, or account data of the referred organization. The partner receives only the information necessary to handle their referral and verify their reward.
  6. If multiple partners submit the same organization, the reward can only be granted once. Priority goes to the earliest valid submission that leads to cooperation; in the event of a dispute, we will review the submission timeline and confirmation from the referred client, explaining our rationale to the partners without disclosing confidential information.
  7. Dock reserves the right to decline cooperation with any referred entity. Submitting a referral does not guarantee that a contract will be signed or that a reward will be granted.

§ 9. Reward eligibility

  1. A reward is earned when all of the following conditions are met: the referral is valid, it is matched with a new client, the client signs an agreement with Dock and pays the first invoice for the referred project in full, and the partner meets participation and verification requirements.
  2. Simply registering a contact, negotiating, sending a proposal, marking a sales call as successful, or issuing an unpaid invoice does not qualify for a reward.
  3. Dock verifies eligibility against documentation and payment records. Manual approval serves as an audit of these criteria, not a discretionary right to withhold an earned reward.
  4. Reward status and applied discounts are displayed in the portal. If a credit requires clarification, the partner may request details on missing criteria and file a complaint.
  5. One reward is granted per referral. Subsequent invoices, renewals, contract amendments, and follow-up orders from the same organization do not generate additional rewards, unless explicitly agreed in writing before the referral is submitted.

§ 10. Reward amounts

  1. For one-off project contracts, the reward is calculated on the net value of the referred contract, excluding VAT:

  2. For ongoing services, such as technical maintenance or performance marketing, the reward is 50% of one net monthly installment specified in the contract. This is awarded as a one-time discount, not on a recurring monthly basis.
  3. Thresholds apply to the full calculation base; this is not a progressive tiered scale. For example: a contract of PLN 1,000 net yields a PLN 300 discount, PLN 2,000 net yields PLN 400, PLN 5,000 net yields PLN 1,000, and PLN 6,000 net yields PLN 1,500. An ongoing service retainer of PLN 1,500 net yields a one-time discount of PLN 750.
  4. Calculations are rounded to two decimal places. Discounts are recorded in PLN as net price deductions on eligible services; VAT on the invoice is calculated in accordance with statutory regulations after applying the discount.
  5. If a referred contract is billed in another currency or combines multiple billing models, the base, conversion rate, and reward must be agreed with the partner in documentary form before the referral is processed. A nominal amount in another currency is not treated as the equivalent value in PLN.

§ 11. Wallet and discount redemption

  1. The wallet is an internal record of discount entitlements applicable to Dock services. It is not a bank account, payment account, deposit, or electronic money. The balance cannot be paid out in cash or by bank transfer, and does not accrue interest.
  2. Discounts can only be used by the organization to which they were awarded. Transferring discounts to another entity requires a separate agreement with Dock, without prejudice to cases of universal legal succession.
  3. Discounts may be redeemed against eligible, separately quoted custom projects by Dock, such as website development, custom programming, design, and additional maintenance work. They do not apply to recurring subscription items, including SaaS subscriptions and fixed retainer fees. Eligibility for a specific line item is confirmed prior to billing.
  4. The discount applied cannot exceed the available balance or the total payable amount for qualifying line items after other reductions. Applying wallet credits cannot result in a negative invoice value.
  5. An amount reserved in a pending invoice calculation may be temporarily unavailable for other billings. Once a reservation is canceled, the unused credit returns to the available balance.
  6. The wallet displays transaction history. The final application of services and discounts is reflected on the tax invoice or credit note. In the event of a discrepancy, the partner may request clarification and ledger adjustment.
  7. Awarded discounts have no contractual expiration date. Account deletion, opting out of the program, or closing the program to new referrals will not automatically forfeit them; redemption terms can be arranged with Dock outside the portal. This provision does not waive statutory limitation periods for claims.
  8. Modifying program terms will not reduce validly earned rewards. Corrections are permitted in cases of obvious clerical errors, duplicate crediting, or rewards obtained fraudulently. Dock will inform the partner of the reason, amount, and how to dispute the adjustment beforehand. Every adjustment leaves an audit trail in the transaction history.
  9. Subsequent regular scope adjustments, early termination of the referred client's contract, or refunds do not automatically revoke an appropriately awarded reward. Suspected sham transactions, fraud, or failure to meet initial award criteria are assessed separately.

§ 12. Availability, access restrictions, and liability

  1. We strive to ensure continuous platform availability. Maintenance, updates, and emergency fixes may cause temporary interruptions. Where feasible, planned portal downtime will be announced in advance.
  2. Guaranteed uptime, response times, and resolution windows arise solely under a separate service contract or SLA. If the portal is unavailable, Dock can always be reached via email.
  3. We may restrict specific features, suspend an account, or remove unlawful content when required by law, security concerns, lack of authorization to represent an organization, or a material or repeated breach of these terms.
  4. We take measures that are proportionate to the breach. Unless immediate intervention is necessary, we will first ask the user to clarify or remedy the issue. We provide the rationale for any restriction, unless prohibited by law or where disclosure would compromise security. Users may file a complaint.
  5. Account suspension does not automatically forfeit legitimately acquired discounts or strip the organization of rights to its documents.
  6. The liability of Dock and the user is governed by statutory law and the applicable agreement. Nothing in these terms excludes liability that cannot be lawfully limited, particularly for damages caused with willful misconduct.

§ 13. Complaints

  1. Complaints regarding the platform, accounts, referrals, or the wallet may be sent to contact@dock.eu or to Dock's registered address.
  2. The complaint should contain contact details, a description of the issue, the date it occurred, any relevant document or referral numbers, and the expected resolution. No special form or legal terminology is required.
  3. We will respond on a durable medium, typically via email, within 14 days of receipt. If details are missing to assess the issue, we will ask for additional information. This does not limit statutory timeframes or consumer remedies under mandatory legal provisions.
  4. Submitting a complaint does not affect your right to pursue claims in court or seek other legal remedies.

§ 14. Consumer protection rights

  1. The B2B focus of the portal does not exclude legal consumer protections granted by law to sole proprietorships entering into a contract that is not of a professional nature for them, nor does it exclude consumer rights if Dock enters into an agreement with a consumer.
  2. Where statutory consumer laws grant the right to withdraw from a distance contract, eligible individuals may exercise it within 14 days of entering into the service agreement by submitting an unequivocal statement via email or post. Sending the statement before the deadline expires is sufficient.
  3. Optional sample withdrawal statement: "I hereby give notice of withdrawal from the agreement for [service name], concluded on [date]. Name: […]. Address or email identifying the agreement: […]. Date: […]." A physical signature is only required for postal notices.
  4. Merely logging into an account does not constitute a waiver of the right of withdrawal. Starting a paid service prior to the expiry of the statutory withdrawal period requires explicit consent and information where mandated by law. Terms for paid services are provided prior to concluding the relevant agreement.
  5. Under applicable consumer protection legislation, statutory rules regarding the conformity of digital services with the contract and user remedies apply. These terms do not limit any of those rights.
  6. Consumers can seek assistance from local consumer ombudsmen and find information on alternative dispute resolution on official consumer protection authority websites (e.g., UOKiK in Poland). If required, following an unresolved complaint, Dock will provide details regarding an eligible ADR entity and its willingness to participate.

§ 15. Personal data and communications

  1. Data processing principles are detailed in the privacy policy available on the website. Accepting these terms does not constitute a blanket consent to data processing or marketing.
  2. Service notices essential for managing accounts, security, client requests, and the referral program may be delivered regardless of whether you have opted into marketing communications. We do not use operational notifications to circumvent marketing rules.
  3. Consent to marketing and optional tracking technologies is completely separate, voluntary, and can be withdrawn at any time.

§ 16. Amendments to the terms and program termination

  1. We may amend these terms due to changes in applicable legislation, updates to our service scope or delivery methods, required security enhancements, or reorganization of the referral program. The scope of any amendment will correspond to the underlying reason.
  2. Changes affecting existing accounts or the referral program will be notified on a durable medium at least 30 days before taking effect, outlining the new provisions, the reason, and the effective date. A shorter notice period may apply when required by statutory obligations or to counter immediate security threats; this will not be used to impair accrued economic rights.
  3. Users may terminate their account agreement, and partners may opt out of the referral program, before the changes come into force. Changes to reward calculation terms require acceptance of the updated terms prior to submitting new referrals.
  4. Referrals submitted validly prior to an amendment are settled under the terms in place at the time of submission, even if the agreement or first payment occurs afterward. Amendments do not apply retroactively to a partner's disadvantage.
  5. We will provide at least 30 days' advance notice if we decide to stop accepting new referrals. Previously accepted submissions and accrued discounts will continue to be honored according to existing rules.
  6. These terms are governed by Polish law, without depriving any party of mandatory consumer protections under the law of their habitual residence. Jurisdiction is determined in accordance with statutory procedural law.
